TERMS AND CONDITIONS / SERVICE AGREEMENT

Toll Free Number with Automated Billing System

Terms are stated below:

ONIBLA LLC is a telecommunications company which offers services through toll-free bill-to-credit-card telephone lines in exchange for a commission based upon a flat rate fee or a percentage of the profit earned during each of Client’s used minutes.

ONIBLA LLC will perform all necessary programming, maintenance and hosting of Client’s toll free lines. ONIBLA LLC may charge Client a one-time setup fee for toll free number programming and website development services which will enable you to take advantage of any ONIBLA LLC services.

1. ORDER FULFILLMENT
   After receipt and review of your order form, ONIBLA LLC will complete all programming and installation within 3-10 business days and will then forward to Client the Notification of Toll Free Line Activation, which will include all necessary information for Client to begin telephone line(s) usage. Confirmation of this activation will be sent to Client via email.
2. NOTIFICATION DISCLOSURE
   Any notice required under this Agreement shall be in writing and shall be effective as of the date received. Any notice may be delivered by certified mail, facsimile, or by email to the party entitled to receive such notice at the address contained in this agreement or such other address as the parties may designate. Any unresolved disputes between the parties shall be litigated in the courts of the State Arizona, County of Pinal. The losing party to any dispute so litigated shall pay to the other party any attorney fees and/or costs resulting from such litigation.
3. PERFORMANCE DISCLOSURE
   Failure to perform any term or condition of this Agreement as a result of conditions beyond ONIBLA LLC’s control such as, but not limited to, war, strikes, fires, floods, acts of God, governmental restrictions, power failures, or damage or destruction of any network facilities or servers, shall not be deemed a breach of this Agreement.
4. TECHNICAL SUPPORT
   ONIBLA LLC offers both phone and email support in order to provide you with ongoing assistance in making your toll free home based business a success. All requests for support or assistance will be responded to within 24 hours or sooner.
5. SETUP COST
   Initial one-time setup fee will apply and will vary depending on the options chosen. This one-time setup fee is non-refundable.
6. MONTHLY RECURRING MAINTENANCE FEE
   Client authorizes ONIBLA LLC or a third party provider to charge the credit card it has on file for maintenance fees. This charge will be processed in monthly cycles on the 18th of the month pro-rated from the date of setup completion. The automatic recurring charge authorization will remain in effect until such time Client gives written notice to cancel by email or regular postal mail. ONIBLA LLC may cancel this agreement with or without notice if the maintenance fee is not paid in a timely manner.
7. CANCELLATION
   Client may cancel service with ONIBLA LLC at any time, but you shall not receive a refund of any monies paid to ONIBLA LLC prior to the date of cancellation. Clients canceling service with unusually high pending payouts may, at our discretion and to prevent fraud, have funds withheld for 180 days. ONIBLA LLC may cancel this agreement in the event that you commit any of the following: non-payment of monies due to ONIBLA LLC, excessive chargebacks, spamming, acts of fraud including but not limited to false or fraudulent use of minutes, or other any other acts of fraud.
8. COMMISSION AND PAYOUT
   Commission checks or direct deposits are sent on the 25th of the month payable for the preceding month’s activity.
9. CHARGEBACKS
   The Client will be held financially responsible for the result of any and all chargebacks for the full amount of each chargeback plus the $25 fee that our merchant bank charges. A chargeback occurs when a party declines to pay the charges they were billed by their credit card company for calls placed to the Client’s toll free number. Each month the client will receive a statement providing complete details of any chargeback activity. We reserve the right to place rolling reserves on any account with chargeback activity.
10. FORCE MAJEURE CLAUSE
    ONIBLA LLC shall not be liable for any failure or delay in performance under this Agreement to the extent said failures or delays are proximately caused by causes beyond ONIBLA LLC’s reasonable control and occurring without its fault or negligence, including, without limitation, failure of suppliers, subcontractors, and carriers, or party to substantially meet its performance obligations under this Agreement.
